2. Invoices & Compliance
- All invoices issued by Tech Cloud DS are legally valid and accepted for marketplace verification purposes, including Amazon, Walmart, and eBay.
- Customers are responsible for maintaining full compliance with all brand policies, MAP rules, and marketplace regulations.
- Any misuse, falsification, or modification of invoices will result in immediate termination of business relations.
3. Orders & Payments
- All orders must be paid in full upfront before processing begins.
- Accepted payment methods include bank transfer, wire transfer, and approved payment gateways.
- Once payment is confirmed, orders are final, non-refundable, and non-cancellable.
- Pricing may change at any time due to market conditions, supply availability, or brand pricing updates.
4. Shipping & Delivery
- We ship directly to Amazon FBA, Walmart fulfillment centers, and customer-designated warehouses.
- Delivery timelines depend on product availability, logistics carriers, and warehouse processing times.
- Tech Cloud DS is not responsible for delays caused by carriers, customs, natural events, or other force majeure situations.
- Once an order is shipped, ownership and risk of loss transfer to the buyer.
5. Return & Refund Policy
- All sales are final.
- Returns or refunds are not accepted unless the product received is defective or incorrect.
- Any issue must be reported within 48 hours of delivery and supported with valid proof (photos or video).
- Tech Cloud DS reserves the right to approve or deny replacements or adjustments at its sole discretion.
6. Product Authenticity
- All products supplied by Tech Cloud DS are 100% authentic and sourced directly from authorized distributors, manufacturers, or brand-approved channels.
- Any unauthorized relabeling, rebranding, or alteration of products is strictly prohibited.
- Violations may result in legal action and permanent termination of business relations.
7. Confidentiality
- All customer, supplier, and brand-related information is strictly confidential.
- Clients must maintain confidentiality regarding pricing, sourcing agreements, supplier identities, and brand policies.
8. Marketplace Compliance
- Buyers must follow all applicable marketplace policies and brand MAP (Minimum Advertised Price) requirements.
- Any violations may result in suspension of supply or potential legal consequences.
- Tech Cloud DS is not responsible for account suspensions, listing removals, or policy violations incurred on any marketplace.
9. Limitation of Liability
- Tech Cloud DS is not liable for loss of profits, marketplace account actions, listing issues, data loss, or damages resulting from pricing, logistics, or product performance.
- Our liability is strictly limited to the value of the products purchased.
10. Disputes & Legal Jurisdiction
- All disputes shall be governed by the laws of the State of Texas, USA.
- Legal proceedings must be filed in a court of competent jurisdiction within the State of Texas.
- Both parties agree to attempt amicable resolution before initiating any legal action.
11. Modification of Terms
- Tech Cloud DS reserves the right to update or modify these Terms & Conditions at any time without prior notice.
